Acceptance of Terms

By accessing and browsing the website of Online Init (https://www.onlineinit.com), submitting an inquiry, or engaging our software engineering and design services, you acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions.

If you are entering into this agreement on behalf of a corporation, limited liability company, or other legal entity, you represent and warrant that you possess the authority to bind such entity to these provisions.

02

Services & Project Agreements

Online Init provides bespoke digital services, including but not limited to:

  • Custom Web Application Architecture & Full-Stack Development (Next.js, React, Node.js).
  • Headless WordPress Engineering, REST API & GraphQL Integrations, and Custom CMS Themes.
  • Native and Cross-Platform Mobile Application Development.
  • Applied Artificial Intelligence & Machine Learning Integration Solutions.
  • UI/UX Design Systems, Prototyping, and Digital Brand Identity.
  • Website Optimization, Code Audits, and Ongoing Service Level Agreements (SLAs).

Individual client engagements are governed by formal Statements of Work (SOW) or signed Service Proposals detailing deliverables, timelines, milestone compensation, and scope boundaries. In the event of a discrepancy, the terms of a signed SOW shall take precedence over these general website terms.

03

Intellectual Property Rights

Website Content & Brand Assets: All text, typography, interactive GSAP animations, custom design tokens, software code snippets, logos, and graphics displayed on this website are the proprietary property of Online Init or its licensors, protected by copyright and intellectual property laws.

Client Deliverables: Upon receipt of full and final compensation according to the contracted Statement of Work, all bespoke custom source code, bespoke design artwork, and project deliverables created specifically for the client shall transfer to the client, unless explicitly designated as pre-existing open-source libraries or agency framework assets.

Online Init reserves the right to showcase non-confidential project visuals and summaries in agency portfolio case studies and marketing materials, unless an explicit Non-Disclosure Agreement (NDA) stipulates otherwise.

04

Client Responsibilities & Cooperation

The successful and timely completion of any project requires proactive client collaboration. The client agrees to:

  • Provide necessary brand assets, copywriting, API keys, credentials, and feedback in a timely manner.
  • Designate a primary point of contact authorized to make binding approvals and decisions.
  • Conduct milestone acceptance reviews within the agreed timeframe specified in the project proposal.
05

Payment Terms & Invoicing

Fees for agency services are billed pursuant to the milestone schedule outlined in the contract or proposal:

  • An initial upfront deposit is required prior to project commencement and resource reservation.
  • Milestone invoices are payable upon completion of corresponding development phases.
  • Final project code, production deployment keys, and production assets are released upon settlement of the closing invoice.

Invoices are due within the payment window indicated on each invoice. Work may be temporarily suspended if milestone payments remain delinquent beyond agreed grace periods.

06

Warranty & Support Period

We stand firmly behind the quality of our craftsmanship. Delivered custom code carries a standard 30-day bug warranty commencing upon production deployment, covering resolution of reproducible defects deviating from agreed functional specifications.

This warranty excludes bugs resulting from unauthorized modifications made by third parties, hosting server disruptions, major updates to third-party APIs beyond our control, or external plugin conflicts introduced after handover.

07

Limitation of Liability

To the maximum extent permitted by applicable law, Online Init, its directors, developers, and contractors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business interruption, or commercial goodwill.

Our aggregate liability arising out of any engagement, whether in contract, tort, or otherwise, shall not exceed the total fees actually received by Online Init for the specific service phase giving rise to the claim.

08

Governing Law & Jurisdiction

These Terms & Conditions and any agreements entered into with Online Init shall be governed by, interpreted, and construed in accordance with the substantive laws of India.

Any disputes, actions, or proceedings arising out of or related to these terms shall be subject to the exclusive jurisdiction of the competent courts situated in Dehradun, Uttarakhand, India.
